Welcome to VendPlug. By accessing or using our mobile apps, website, and services (“Services”), you agree to these Terms. If you do not agree, do not use the Services.
1. Account
- You must be at least 18 years old to use VendPlug.
- VendPlug uses one account. You can shop as a buyer and, when ready, open a shop as a vendor on the same login. There is no separate vendor-only sign-in.
- You are responsible for your credentials and all activity under your account.
- We may suspend or terminate accounts for policy violations, fraud, or unlawful activity.
2. Marketplace & Roles
VendPlug is a vendor-led marketplace. Buyers browse shops, place orders, and pay into escrow. Vendors list products, fulfil orders, and receive payouts after delivery is confirmed (or as otherwise set out in our fulfilment rules). In-app chat is used to coordinate orders between buyers and vendors.
3. Payments, Wallet & Escrow
- Card and bank payments are processed by Paystack under their terms. We do not store card numbers.
- You may hold a VendPlug wallet balance for checkout. Some checkouts may use wallet funds first and cover any shortfall with Paystack.
- For covered marketplace orders, funds are held in escrow until the order is completed under the applicable fulfilment rules.
- Chargebacks, refunds, and disputes are handled under our dispute process and Paystack’s procedures.
4. Fees
Platform fees for vendors are disclosed during shop setup and may appear in your dashboard. The current standard fee is 2% per fulfilled order, capped at ₦2,000 per order, unless we publish a different rate with notice. You are responsible for applicable taxes.
5. Refunds & Cancellations
- Where eligible, refunds are returned to the original payment method or wallet after investigation.
- If a chargeback is filed, we may provide evidence to the processor and pause related payouts until resolved.
- Custom or perishable goods may be limited or excluded from refunds except where required by law.
6. Disputes
Use the in-app dispute tools first. We (or designated support staff) may request evidence from both sides and make a determination guided by these Terms, our policies, and applicable law. Opening a dispute does not guarantee a refund.
7. Prohibited Activities
- Illegal items or services, fraud, money laundering, or intellectual-property infringement.
- Abuse, harassment, spamming, or platform misuse.
- Circumventing escrow or pushing covered transactions off-platform to avoid fees or protections.
8. Messaging & Content
Buyers and vendors may communicate via in-app chat to coordinate orders. You are responsible for what you share. We may remove content that violates these Terms or the rights of others.
9. Community Stake / Owner Track
VendPlug may run a vendor recognition and community-participation programme (shown in-app as ranks, badges, Owner Track, or Community Stake). Progress is typically based on eligible completed escrow activity (for example unique buyers and minimum order amounts as published in the app).
10. Intellectual Property
VendPlug content and branding are protected. You may not copy, modify, or distribute our content without permission. You grant us a limited licence to host and display content you upload solely to operate the Services.
11. Warranties & Liability
- The Services are provided “as is” and “as available”.
- We do not guarantee uninterrupted or error-free operation.
- To the maximum extent permitted by law, we are not liable for indirect or consequential damages.
12. Communications
By using the app, you consent to receive service communications (order updates, security notices, chat alerts) via in-app messages, email, SMS where configured, and push notifications. You can disable promotional notifications in device settings.
13. Termination
You may stop using the Services at any time. We may suspend or terminate access for violations or risks to users or the platform. Certain obligations (fees, dispute cooperation, record retention) may continue after termination.
14. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria. Venue and jurisdiction will be in competent courts within Lagos State, except where applicable law requires otherwise.
15. Changes
We may update these Terms. We will post updates with a revised “Last Updated” date. Continued use means acceptance of the updated Terms.
